Key Responsibilities:

  • Compliance Management: Ensure compliance with the Companies Act, SEBI regulations, and listing agreements with stock exchanges (NSE/BSE).
  • Corporate Governance: Play a key role in maintaining high standards of corporate governance, advising the board on legal and regulatory matters.
  • Regulatory Filings: Prepare and file necessary documents and applications with regulatory bodies including SEBI, NSE, and BSE; ensure timely compliance with disclosures and reporting requirements.
  • Board Meetings: Organize and manage board meetings, prepare agendas, circulate minutes, and maintain statutory registers and records.
  • Advisory Role: Provide strategic legal advice to the management regarding corporate transactions, mergers, acquisitions, and investments.
  • Stakeholder Communication: Liaise with shareholders, regulatory authorities, and external stakeholders on issues related to corporate governance.
  • Training & Updates: Keep abreast of changes in corporate laws and regulations, and conduct training sessions for staff on compliance and governance best practices.

Qualifications:
  • Education: Bachelors degree in Law or Commerce, and a qualified Company Secretary (CS) from a recognized institution.
  • Experience: Minimum 6 years of relevant experience in a corporate governance role, preferably in listed companies.
  • Certifications: Certification from Institute of Company Secretaries of India (ICSI) is mandatory. Additional certifications in compliance, corporate governance, or related fields will be an advantage.

Essential Skills:
  • Regulatory Knowledge: In-depth knowledge of SEBI, NSE, and BSE regulations, Companies Act, and other relevant laws.
  • Analytical Skills: Strong analytical and problem-solving abilities with attention to detail.
  • Communication Skills: Excellent written and verbal communication skills; capable of interacting with a variety of stakeholders, including the board of directors and investors.
  • Organizational Skills: Strong organizational skills with the ability to manage multiple tasks and deadlines effectively.
  • IT Proficiency: Proficient in MS Office and familiar with legal compliance software and corporate governance tools.
