Job description
Role & responsibilities

1. Corporate Governance and Compliance:
  • Ensure the company\'s compliance with statutory and regulatory requirements.
  • Advise the Board on corporate governance best practices and changes in legislation.
  • Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
2. Board Support:
  • Facilitate the smooth operation of the companys formal decision-making and reporting machinery.
  • Ensure that board procedures are followed and regularly reviewed.
  • Provide support and advice to the board and its committees on governance matters.
3. Documentation and Record Keeping:
  • Maintain the companys statutory books, including registers of members, directors, and secretaries.
  • Manage the documentation related to company meetings and ensure that resolutions and decisions are accurately recorded.
  • Ensure proper filing and storage of corporate documents and records.
4. Shareholder Communication:
  • Manage communication with shareholders and ensure their interests are protected.
  • Handle queries and requests from shareholders regarding shares and dividends.
  • Ensure that dividends are paid and share certificates are issued promptly.
5. Liaison with Regulators and Advisors:
  • Act as a point of contact and build good relationships with external regulators and advisers such as auditors and lawyers.
  • Liaise with external regulators and advisers to ensure compliance with applicable regulations.
6. Risk Management:
  • Assist in the development and implementation of risk management strategies.
Monitor and report on risk management and compliance processes within the company.

Preferred candidate profile
