Job description
Role & responsibilities

  • Professional qualification as a Chartered Secretary (CS) or an equivalent certification..
  • Thorough knowledge of corporate governance, statutory compliance and legal regulations related to the infrastructure or similar industries.
  • Ensure that all policies, statutory or regulatory changes affecting the organization are updated and approved by the appropriate committee.
  • Maintain statutory books, including registers of members, directors and secretaries.
  • Organize and conduct secretarial audits annually to ensure compliance and promote good corporate governance.
  • Ensure compliance with the companies Act and other applicable legal laws including corporate governance standards
  • Provide legal, financial and strategic advice to the board both during and outside meetings.
  • Take an active role in management decisions related to mergers, acquisitions, IPOs, share issues, and takeovers.
  • Manage contractual agreements with suppliers and customers to ensure compliance with terms and conditions.
  • Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
  • Liaise with external regulators and advisers, such as lawyers, auditors and other third parties.
  • Provide first hand updates to management regarding the company\'s major activities and legal obligations.
  • Implement processes and systems to ensure effective management of the company and compliance with all legal and statutory requirements
  • Implement and manage the companys Corporate Social Responsibility (CSR) activities.
  • Oversee and ensure compliance during Initial Public Offerings (IPOs) including understanding regulatory and governance implications for these transactions
  • Strong organizational, communication and interpersonal skills.

Preferred candidate profile
Minimum 8 years of experience in a similar role, ideally with expertise in IPOs and corporate governance
