Job description

Key Responsibilities:
  • Corporate Governance and Compliance:
  • Ensure compliance with statutory and regulatory requirements applicable to the transportation industry.
  • Maintain and file necessary documents and registers with regulatory authorities.
  • Assist in drafting and filing of various forms, resolutions, and annual reports.
  • Board and Committee Meetings:
  • Organize and manage Board and Committee meetings, including preparation of agendas, minutes, and resolutions.
  • Ensure compliance with meeting procedures and corporate governance guidelines.
  • Facilitate communication between Board members and management.
  • Legal and Secretarial Support:
  • Provide legal support in corporate matters, contracts, and agreements.
  • Monitor changes in relevant legislation and the regulatory environment.
  • Advise management on corporate governance issues and best practices.
  • Shareholder Relations:
  • Manage communication with shareholders, including preparing and distributing notices and circulars.
  • Facilitate shareholder meetings and handle related administrative tasks.
  • Maintain the company’s shareholder register and update records accordingly.
  • Administrative Duties:
  • Maintain corporate records, registers, and statutory books.
  • Handle correspondence and communication related to legal and regulatory matters.
  • Assist in the preparation of annual reports and financial statements.
Skills and Qualifications:
  • Bachelor’s degree in Commerce (B.Com) and Company Secretary (CS) qualification.
  • Proven experience as a Company Secretary in a corporate environment (5-7 years preferred).
  • Sound knowledge of corporate governance principles, company law, and regulatory requirements.
  • Strong analytical and problem-solving skills.
  • Excellent organizational and time management abilities.
  • Ability to work independently and as part of a team.
  • Proficiency in MS Office suite and familiarity with company secretarial software.
