Job Responsibilities
- Should have worked in NBFC company for at least 2-3 years
- Updated Knowledge of NBFC provisions, RBI NBFC Master circulars
- Updated knowledge of provisions of Companies Act, Rules thereunder, SEBI Regulations, Mutual Fund Regulations
- Conducting of Board and Committee Meetings
- Prepare various draft agenda notes for the Board/Committees of Directors, Directors Report
- Prepare and Issue notice of General Meetings viz. AGM/EOGM
- Draft various Resolutions accordance with the provisions of the Companies Act and rules made thereunder.
- Draft Minutes of Board, Committee, Annual General Meeting, etc.
- File various statutory forms & returns with MCA/ROC
- Maintain and record Statutory Registers as required under Companies Act & Rules thereunder
- Collect Disclosures, consents, etc. required under the Company Law from Directors and submit before Board
- Conduct of Secretarial Audit
- Coordinate with other functions like Finance /Compliance for smooth operations of the Company
- Listing Compliances and various filings with Stock Exchanges viz. Quarterly and periodical filing
- Other Secretarial work of the Company
- Liaising with various statutory bodies like ROC, RBI, Other Government departments, etc.
Skills
- Should be able to handle NBFC compliances independently
- Should be able to handle secretarial work of subsidiary/Associate companies
Qualification
- Qualified Company Secretary-Member of ICSI
- LLB will be an added advantage
Experience
- 5-6 years post qualification experience as company secretary, with 2-3 years of NBFC/Finance Companies
