Job description
Key Responsibilities:
- Corporate Governance: Advise the Board on governance matters and ensure adherence to corporate governance principles and best practices.
- Regulatory Compliance: Ensure compliance with corporate laws and regulations, including the Companies Act, Securities and Exchange Commission (SEC) regulations, stock exchange rules, and other statutory obligations.
- Board Support: Organize and attend Board meetings, prepare agendas, take minutes, and ensure that resolutions are recorded and executed. Provide advice to the Board on corporate matters.
- Shareholder Communication: Handle communications with shareholders, including convening annual general meetings (AGMs), drafting notices, and ensuring shareholder information is accurate and up to date.
- Corporate Records Management: Maintain and update the companys statutory records, including the register of members, directors, and secretaries, as well as any required licenses and certificates.
- Compliance Reporting: Ensure that all filings (e.g., annual returns, financial statements) are completed accurately and submitted within the required deadlines.
- Legal Advice: Provide legal guidance on corporate and commercial matters, including contracts, intellectual property, mergers, and acquisitions.
- Ethics & Risk Management: Promote ethical business practices, risk management, and transparency in business operations..
- Policy Development: Assist in the development of corporate policies and procedures to ensure legal and regulatory compliance.
Required Qualifications:
- Education: Qualified Company Secretary (Graduation,).
- Experience: Minimum of 3-5 years of experience in a similar role or in legal, corporate governance, or compliance positions, preferably in a public or Limited company.
- Skills:
- In-depth knowledge of corporate law, governance standards, and regulatory requirements.
- Proficiency in corporate secretarial practices, document management, and governance tools.
- Strong organizational and time-management abilities.
- Ability to manage confidential information with discretion.
