Job description

Key Responsibilities and Accountabilities (KRA)
1. Compliance Management
  • Ensure compliance with statutory obligations under relevant laws and regulations, including the Companies Act, SEBI regulations, and other applicable statutes.
  • File necessary forms and returns with regulatory bodies such as the Registrar of Companies (RoC) and SEBI.
  • Monitor changes in relevant legislation and provide timely updates to the board.
2. Corporate Governance
  • Support and guide the board on corporate governance practices, ensuring adherence to best practices.
  • Draft and maintain company policies, charters, and governance frameworks.
  • Ensure the board functions effectively and efficiently, maintaining transparency in decision-making.
3. Board and General Meetings
  • Organize and coordinate board meetings, general meetings, and committee meetings, including preparation of notices, agendas, and minutes.
  • Maintain records of meetings and decisions made by the board and shareholders.
  • Act as a liaison between the board of directors and shareholders.
4. Record-Keeping and Documentation
  • Maintain statutory books, including the register of members, directors, and secretaries.
  • Safeguard corporate documents, including MOA, AOA, and resolutions passed.
  • Keep records of changes in shareholding, directorship, and other corporate matters.
5. Advisory Role
  • Advise the board and management on legal implications of business decisions.
  • Assist in drafting and reviewing contracts, agreements, and legal documents.
  • Provide guidance on mergers, acquisitions, restructuring, and other strategic initiatives.
6. Liaison and Coordination
  • Liaise with regulators, auditors, lawyers, and other external stakeholders.
  • Handle investor relations and address shareholder queries.
  • Ensure timely responses to regulatory inquiries and inspections.
7. Secretarial Audits and Reports
  • Conduct secretarial audits and prepare compliance certificates.
  • Draft the Directors Report, Annual Reports, and disclosures required under corporate laws.

Qualifications and Skills
Educational Qualifications
  • Membership of the Institute of Company Secretaries of India (ICSI) is mandatory.
  • Bachelors degree in Law, Commerce, or a related field (preferred).
Skills and Competencies
  • Thorough knowledge of corporate laws, SEBI regulations, and governance principles.
  • Strong drafting, communication, and interpersonal skills.
  • Excellent organizational and time-management abilities.
  • Proficiency in using compliance and record-keeping tools/software.
Experience
  • 3-7 years of experience in a similar role, preferably in a listed company or reputed organization.
