Job description
Role & responsibilities:
- Prepare and distribute documents for board, committee, and shareholder meetings, including agendas, minutes, and briefing papers.
- Attend all board meetings, take accurate minutes, and compile records.
- Ensure company adherence to all filing and compliance requirements.
- Advise the chairman and board members on matters of corporate governance, ethics, and regulatory obligations.
- Provide administrative support to the chairman, CEO, Directors, and Board committees in all legal and compliance matters.
- Coordinate annual shareholder meetings and manage shareholder communications.
- Oversee document retention policies to ensure legal compliance.
- Implement processes or systems to ensure effective organizational management or compliance.
- Ensure Regular Compliance fillings of all relevant SEBI licenses (RIA & PMS, Merchant Banker, Mutual Fund) of PRP Prof Edge and its sister entities.
- Ensure the submission of Documents or information regularly required from the Association of Portfolio Managers in India (APMI) and BSE Administration and Supervision Limited (BASL).
- Replying to SEBI Queries. Intimation to SEBI about Changes in Key Managerial personnel (KMPs) and Compliance Officers.
- Maintaining statutory registers, filing statutory returns, and ensuring compliance with company law requirements regarding the maintenance of corporate records.
- Drafting and Review of Various Business Development Agreements, contracts, Loan Facility Letters, Referral Agreements, MOUs, NDAs, entered by all entities.
- Documentation for Opening, Closing and making any changes in Bank Accounts.
- GST Registration, Professional Tax reg, Application for new and Correction in PAN TAN, Digital Signature Renewal.
- Ensuring compliance with various laws, regulations, and statutory requirements applicable to our company\'s operations.
Preferred candidate profile:
- Bachelors degree in Secretarial Law, Business, or a related field.
- A minimum of 2 years of experience as a Company Secretary or in a similar Compliance Officer role.
- Strong understanding of corporate compliance and statutory filing requirements especially in the NBFC and investment banking space.
- Maintain integrity and discretion, and possess the ability to handle confidential information.
- Excellent note-taking to accurately record meeting minutes.
- Strong research, analytical, and problem-solving skills.
- Strong attention to detail and organizational skills.
