Roles & Responsibilities:
Corporate Governance & Compliance:
- Ensure the organization complies with statutory and regulatory requirements, particularly the Companies Act & other applicable Law & compliance.
- Implement robust corporate governance practices within the bank.
- Prepare and file necessary returns, reports, and documents with regulatory authorities.
Board & Subcommittee Support:
- Assist Executive leadership in their duties by preparing board meeting agendas, circulating relevant papers, and ensuring the board meetings are conducted in line with legal requirements.
- Record minutes of board meetings, Nomination Remuneration Committee (NRC), Audit Management Committee (AMC), Risk Management Committee (RMC) and ensure timely distribution to board members. Provide guidance to the Board on regulatory and governance matters.
Secretarial Functions:
- Maintain statutory books, including registers of members, directors, and secretaries.
- Ensure timely filing of financial statements and annual returns.
- Draft and review legal documents, including contracts, agreements, and other official communications.
Stakeholder Communication:
- Build and maintain positive working relationships, act as a liaison between BGSSL and its stakeholders, including the board of directors, senior management, regulatory bodies, and government authorities to ensure smooth communication and resolution of issues.
- Act as a mediator to resolve internal conflicts, fostering a collaborative environment and ensuring compliance with corporate governance and legal frameworks.
Risk Management:
- Identify legal risks associated with the BGSSLs operations and advise the senior leaders / Board and management on mitigating these risks.
- Ensure the BGSSLs activities and decisions are following all applicable laws and regulations adhering to compliances.
Advisory Role:
- Advise on legal matters affecting the bank, including changes in legislation that may impact operations.
- Provide support in mergers, acquisitions, and other corporate restructuring activities.
- Assist in drafting and implementing corporate policies and procedures.
- Guide the Board and senior management on legal obligations and corporate governance best practices.
- Keep abreast of developments in corporate law and banking regulations and ensure the bank\'s compliance.
Job Specific Skills:
Overall, 12 to 16 years of experience in relevant area.
- Strong understanding of the Companies Act & other applicable Law & compliance in BFSI Sector.
- Excellent communication (both verbal and written) and Presentation skills in Key leadership & Stakeholder management.
- Lead and mentor the secretarial and legal team, ensuring continuous professional development, effective communication, and alignment with the companys strategic goals
Education Qualification:
- Graduate in any stream
- The candidate must be a qualified Company Secretary and a member of the Institute of Company Secretaries of India (ICSI) or an equivalent professional body recognized in other countries.
