Key Responsibilities:
Regulatory Compliance:
- Ensure compliance with the Companies Act and Rules for all group companies, with a focus on RBI regulations for NBFCs.
- Adhere to statutory and regulatory requirements in India, including SEBI, LODR, and RBI guidelines for NBFCs.
- Meetings and Documentation:
- Conduct Board Meetings, General Meetings, and Board Committee Meetings, ensuring closure of associated activities.
- Draft board meeting papers, committee documentation, policies, and procedures.
- Corporate Legal Compliance:
- Oversee and manage corporate legal compliance, including drafting and reviewing agreements with stakeholders, joint ventures, and shareholder agreements (SHA).
- Verify agreements prepared by Legal & Compliance outsourced vendors.
- Policy Development:
- Lead the creation of business processes and policies to mitigate risk, enhance efficiency, and improve business effectiveness.
- Local Law Compliance:
- Identify and ensure compliance with local laws and regulations.
- Support audits for regulatory compliance.
- Liaison and Risk Management:
- Liaise with relevant authorities and departments to address identified legal risks and ensure appropriate actions are taken.
- Team Leadership:
- Manage and mentor a team to drive compliance and governance initiatives effectively.
- Requirements:
- Qualifications:
- Company Secretary (CS) certification with 5+ years of relevant experience.
- Preferred Background:
- Experience in the Fintech or NBFC sector.
- Strong exposure to SEBI, LODR, and RBI regulations.
Key Skills:
- Proficiency in regulatory and signatory responsibilities of a CS.
- Expertise in corporate governance, legal compliance, and policy drafting.
