Job description

Key Responsibilities:
Regulatory Compliance:
  • Ensure compliance with the Companies Act and Rules for all group companies, with a focus on RBI regulations for NBFCs.
  • Adhere to statutory and regulatory requirements in India, including SEBI, LODR, and RBI guidelines for NBFCs.
  • Meetings and Documentation:
  • Conduct Board Meetings, General Meetings, and Board Committee Meetings, ensuring closure of associated activities.
  • Draft board meeting papers, committee documentation, policies, and procedures.
  • Corporate Legal Compliance:
  • Oversee and manage corporate legal compliance, including drafting and reviewing agreements with stakeholders, joint ventures, and shareholder agreements (SHA).
  • Verify agreements prepared by Legal & Compliance outsourced vendors.
  • Policy Development:
  • Lead the creation of business processes and policies to mitigate risk, enhance efficiency, and improve business effectiveness.
  • Local Law Compliance:
  • Identify and ensure compliance with local laws and regulations.
  • Support audits for regulatory compliance.
  • Liaison and Risk Management:
  • Liaise with relevant authorities and departments to address identified legal risks and ensure appropriate actions are taken.
  • Team Leadership:
  • Manage and mentor a team to drive compliance and governance initiatives effectively.
  • Requirements:
  • Qualifications:
  • Company Secretary (CS) certification with 5+ years of relevant experience.
  • Preferred Background:
  • Experience in the Fintech or NBFC sector.
  • Strong exposure to SEBI, LODR, and RBI regulations.
Key Skills:
  • Proficiency in regulatory and signatory responsibilities of a CS.
  • Expertise in corporate governance, legal compliance, and policy drafting.
  • Proven ability to handle leadership roles and manage teams
