Job description
Role & responsibilities
Secretarial Job in compliance with various provisions of the Companies Act, 2013
- Drafting of Detailed Agenda, Notices, attendance sheets, and Resolutions of Board Meetings, Committee Meetings and General Meetings and maintaining Statutory Registers specified under Companies Act, 2013.
- Draft of Minutes of Board Meetings, Committee Meetings and General Meetings as required under Secretarial Standards and Companies Act, 2013.
- File of various Returns & Disclosures under the Companies Act, 2013.
- Convene Board Meetings, Committee Meetings & General Meetings and making minutes of all such meetings.
- Assist in work related to transfer/transmission of shares, issue of duplicate share certificate, splitting up of shares certificate as may be required
- Prepare of Annual Report and Annual Filling of various unlisted companies.
- Prepare and filing of various E-forms for various purposes as required under the Companies Act, 2013.
- Preferential Allotment, Private placement, Bonus issue, Right Issue etc. as per the provisions of Companies Act, 2013 as may be required from time to time.
- Appointment & Resignation of Statutory Auditor, Company Secretary, Managing Director, Independent Director etc.
- Obtain DIN for prospective Directors and updation thereof from time to time.
- Incorporation & Commencement of various Companies in terms of the provisions of Companies Act, 2013.
Accounting
- Assist the accounting team for day to day posting of entries as may be required.
- Assist the accounting team for Reconciliation of GL/SGL as may be required
- Assist the accounting team for preparing and filing GST Returns
- Assist the accounting team for finalization of monthly, quarterly, half-yearly and annual closure of books
- Assist the accounting team for finalization of monthly, quarterly, half-yearly and annual closure of books
Admin & Legal
Review and finalise all agreements and arrangements entered and to be entered by the company
- Review and finalise all legal deeds Property and other movable and immovable assets entered and to be entered by the company
- Maintain and update rosters for all legal deeds/agreements and ensure compliance to the clauses contained in such deeds/agreements
- Assist and advise the admin team with any legal suggestions as may be required to comply with any laws of the land.
Required candidate profile
Qualified Company Secretary Knowledge of Microsoft Office Word/Excel etc.Good communication and inter-personal skills.
