Job description
As a Company Secretary, you will be responsible for assisting in the legal and administrative tasks required for the smooth functioning of the company. Here are some key responsibilities:

1. Compliance Management: Assist in ensuring compliance with laws, regulations, and guidelines relevant to the company\'s operations. This includes maintaining records, filing necessary documents with regulatory authorities, and monitoring changes in regulations.

2. Board and Shareholder Meetings: Assist in organizing and preparing materials for board meetings, general meetings, and other corporate events. This may involve drafting agendas, resolutions, minutes, and reports.

3. Corporate Governance: Support the implementation and maintenance of good corporate governance practices within the organization. This includes advising on corporate governance matters and facilitating communication between the board of directors, management, and shareholders.

4. Legal Documentation: Assist in drafting, reviewing, and maintaining legal documents such as contracts, agreements, and corporate policies. Ensure that these documents comply with applicable laws and regulations.

5. Record Keeping: Maintain accurate and up-to-date records of corporate documents, including articles of incorporation, bylaws, and shareholder agreements. Organize and manage company records in accordance with legal requirements.

6. Communication: Serve as a point of contact for internal stakeholders, external advisors, and regulatory authorities on company secretarial matters. Communicate effectively and professionally in written and verbal interactions.

7. Training and Development: Stay informed about changes in corporate law and governance practices. Participate in training programs to enhance knowledge and skills relevant to the role of a company secretary.

8. Other Administrative Tasks: Assist in various administrative duties as needed, such as scheduling meetings, managing correspondence, and maintaining filing systems.


Qualifications:
  • Qualified Company Secretary (ACS) certification preferred.
  • Good understanding of corporate law, governance principles, and regulatory requirements.
  • Excellent communication and interpersonal skills.
  • Attention to detail and ability to maintain confidentiality.
  • Ability to work effectively both independently and as part of a team.
  • Willingness to learn and adapt to a dynamic work environment.
