Role Overview
The CFO will be responsible for overseeing the financial health and strategy of the company,
ensuring compliance with regulatory requirements, optimizing financial performance, and
leading fundraising and M&A activities. As a senior executive, you will work closely with the
CEO and the board, contributing to the company\'s strategic vision and ensuring strong financial governance.

Key Responsibilities
1. Financial Strategy & Leadership
  • Lead and execute the companys financial strategy in alignment with its business goals and expansion plans.
  • Collaborate with the CEO, board, and executive team to develop growth strategies, optimize financial resources, and deliver shareholder value.
  • Provide expert guidance on financial forecasting, budgeting, and cost management.

2. IPO Readiness and Public Company Compliance
  • Oversee preparations for the company\'s transition to a publicly listed entity, ensuring all financial reporting and disclosure requirements are met.
  • Implement and manage robust internal controls, policies, and procedures to meet SEBI, Companies Act, and listing compliance.
  • Maintain a high standard of corporate governance, ensuring transparent financial reporting and adherence to regulatory requirements.

3. Fundraising & Investor Relations Lead capital-raising initiatives, including equity and debt financing, to support the companys growth objectives.
  • Develop and maintain relationships with investors, financial institutions, and analysts, articulating the company\'s financial performance and growth story.
  • Oversee investor communications, disclosures, and periodic financial reporting.

4. Mergers & Acquisitions (M&A)
  • Identify, evaluate, and execute strategic M&A opportunities to support growth and diversification.
  • Conduct due diligence, financial modeling, and risk analysis for prospective deals, ensuring alignment with the companys strategic objectives.
  • Lead post-merger integration efforts, optimizing synergies and enhancing financial performance.

5. Financial Planning & Analysis (FP&A)
  • Lead FP&A activities, including financial forecasting, budgeting, and variance analysis, to ensure efficient resource allocation.
  • Provide insightful financial analysis and reporting to support strategic decision- making by the board and executive team.
  • Implement key performance indicators (KPIs) and metrics to drive performance and monitor financial health.

6. Risk Management & Compliance
  • Oversee risk management activities, ensuring financial risks are identified, assessed, and mitigated effectively.
  • Ensure compliance with local and international financial regulations, tax laws, and other statutory requirements.
  • Collaborate with the audit committee to ensure accuracy and integrity in financial reporting.

Qualifications and Experience
  • Chartered Accountant (CA).
  • A minimum of 20 years of experience in finance, with at least 5 years in a CFO role.
  • Proven track record of success in a company of similar or larger size, preferably in manufacturing or related industries.
  • Experience working with public companies, including IPOs, regulatory compliance, and public reporting.
  • Demonstrated experience in fundraising, M&A, and investor relations.
  • Strong leadership, strategic thinking, and analytical skills, with a high degree of integrity and commitment.
