Job description
Responsibilities:

1. Corporate Governance:

  • Assist in preparing of agendas and presentations of Board, Committee and Shareholders Meetings.
  • Ensure that the company adheres to governance frameworks, policies, and statutory requirements.

2. Secretarial Compliance & Fillings:

  • Maintain and update statutory books and records, including registers of directors, shareholders, and company filings.
  • Monitor and ensure compliance with applicable laws including Companies Act and SEBI Regulations.
  • Assist in ensuring compliance with Corporate Social Responsibility (CSR) requirements and maintain documentation related to CSR projects/activities, as well as agreements with CSR agencies
  • Assist in the preparation of reports for regulatory bodies, including filings for annual general meetings (AGM), extraordinary general meetings (EGM), and any changes to company structures.
  • Prepare draft Resolutions, Minutes of Board, Committees & Shareholders meeting, and Boards Report of all group Companies including notice, attendance, receiving etc.
  • Prepare and file all statutory documents and ROC forms including annual returns, board resolutions, and financial reports under XBRL, etc, with the regulatory authorities.
  • Prepare and file NBFC Forms for Quarterly, Half-yearly and Annual Compliance.
  • Assist to prepare agreements for Inter-company loans.

3. Internal Policies and Procedures:

  • Assist in the review and update of internal policies and procedures to ensure compliance with changing laws and regulations.
  • Provide administrative support to other departments, ensuring they are informed of legal and compliance obligations.

4. Other Responsibilities:

  • Handle general administrative tasks as required by the Company Secretary.
  • Providing documents for Secretarial/Compliance Audit
  • Respond to internal and external inquiries related to corporate governance, legal matters, and shareholder relations.
  • Stay up to date with developments in company law, corporate governance trends, and regulatory changes.

Skills and Qualifications:

  • Educational Background:

- Qualified and member of the Institute of Company Secretaries of India (ACS) Post-Graduation degree
- A legal degree will be an added advantage

  • Experience:

- Prior experience working in a corporate secretarial, legal, or compliance role at least one year
- Working experience of a listed company will be an added advantage
- Familiarity with corporate governance practices, company law, and relevant regulations.

  • Technical Skills:

- Knowledge of XBRL software
- Proficiency in MS Office (Word, Excel, PowerPoint) and other relevant software tools.

  • Soft Skills:

- Strong attention to detail and organizational skills.
- Excellent written and verbal communication abilities.
- Ability to work under pressure and manage multiple tasks.
- Strong interpersonal skills with the ability to interact with senior management, board members, and external parties.
